FLUXIOPAY TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your access to and use of the FluxioPay platform, website, mobile-accessible services, and any related products or services (collectively, the “Platform”).

By accessing, registering on, or using FluxioPay, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

1. COMPANY INFORMATION

2. DEFINITIONS

In these Terms, unless the context indicates otherwise:

“FluxioPay”, “we”, “us”, or “our” refers to KRIM Group (PTY) LTD.
“User”, “you”, or “your” refers to any individual registered on the Platform.
“Voucher” means a FluxioPay digital stored-value voucher.
“Store Gift Card” means a third-party retailer’s digital or physical gift card purchased through voucher conversion.
“Group Account” means an account with multiple members linked to a single primary account holder.
“Account Owner” means the user who creates a Group Account and holds full administrative rights.
“Group Member” means any user added to a Group Account with limited permissions.
“Admin Fee” means the service fee charged by FluxioPay (currently 3.95%) on voucher purchases and top-ups.
“Conversion” means the process of exchanging voucher value for Store Gift Cards.

3. NATURE OF THE PLATFORM

3.1 FluxioPay provides a digital voucher management and conversion service.

3.2 FluxioPay:

Isnot a bank
Isnot a deposit-taking institution
Isnot an electronic money issuer
Does not provide banking, lending, credit, investment, or financial advisory services

3.3 FluxioPay vouchers:

Arenot legal tender
Do not represent cash or electronic money
Cannot be exchanged or redeemed for cash under any circumstances

4. ACCOUNT REGISTRATION

4.1 Users must register an account to use FluxioPay.

4.2 Guest checkout is not permitted.

4.3 During registration, users must select:

Individual Account, or
Group Account

4.4 Users warrant that all information provided to FluxioPay is accurate, complete, and kept up to date.

4.5 User Responsibility and Account Security (IMPORTANT)

4.5.1 It is your full responsibility to ensure that you provide accurate, complete, and correct information for your account and transactions, including contact details and any information relating to Group Accounts.

4.5.2 You are solely responsible for keeping your account credentials (including username, password, and any access links) secure and confidential. You must not share your credentials with any other person.

4.5.3 FluxioPay will not be liable for any loss, fraud, unauthorised access, unauthorised transactions, or damages you may suffer arising from your negligence, failure to secure your account, credential sharing, or failure to keep your information updated.

5. GROUP ACCOUNTS

5.1 A Group Account may have unlimited Group Members.

5.2 The user who creates the Group Account is the Account Owner.

5.3 Group Members:

May view voucher balances and transaction history
May top up vouchers
May not convert vouchers into Store Gift Cards

5.4 Only the Account Owner may:

Convert vouchers
Transfer balances between vouchers
Delete vouchers

5.5 FluxioPay is not responsible for disputes between Group Members and will not mediate disputes unless legally compelled by a valid court order.

6. VOUCHERS

6.1 One customer may purchase and hold multiple FluxioPay vouchers.

6.2 Each customer may hold up to 10 vouchers.

6.3 The combined total value of all vouchers held by a customer may not exceed R49,999.99 at any time.

6.4 Vouchers are valid for 36 months from the date of purchase or last top-up (whichever is later).

6.5 A voucher with a zero balance for 90 consecutive days may be automatically deleted.

6.6 Vouchers:

Are non-cashable
Are non-refundable
Cannot be exchanged for cash or withdrawn as cash from FluxioPay

6.7 Users may rename vouchers for personal identification.

7. FEES AND CHARGES

7.1 FluxioPay charges a 3.95% admin fee on:

Voucher purchases
Voucher top-ups

7.2 No fees are charged on:

Transfers between a customer’s own FluxioPay vouchers

7.3 Admin fees are non-refundable.

7.4 Voucher balances reflect the net value after the admin fee has been deducted.

8. TOP-UPS

8.1 Users may top up existing vouchers at any time.

8.2 Top-ups are subject to the same admin fee and rules as initial voucher purchases.

8.3 Top-up amounts are added to the voucher balance after fee deduction and successful payment processing.

9. CONVERSION TO STORE GIFT CARDS

9.1 Vouchers may be converted into Store Gift Cards available on the Platform.

9.2 Conversions:

Are irreversible
Cannot be cancelled
Cannot be refunded

9.3 A maximum of three (3) Store Gift Cards may be purchased per conversion.

9.4 The total conversion value may not exceed the balance of the selected voucher.

9.5 FluxioPay aims to fulfil Store Gift Cards within 24 hours of conversion, subject to retailer availability and operational dependencies.

10. STORE GIFT CARD FULFILMENT AND THIRD-PARTY RETAILERS

10.1 Store Gift Cards are issued by third-party retailers. Retailer terms, redemption rules, and restrictions apply.

10.2 FluxioPay does not control and is not responsible for:

Retailer system failures
Retailer policy changes
Retailer redemption restrictions
Retailer insolvency, closure, or refusal to honour a gift card due to misuse

10.3 Once a Store Gift Card is delivered, it is the user’s responsibility to store and use it safely.

11. ORDERS AND PAYMENTS

11.1 Payments are processed through approved payment providers, including PayFast.

11.2 Orders are deemed complete only once:

Payment is successful; and
Where applicable (conversion orders), fulfilment is completed and the Store Gift Card(s) are made available to the customer.

12. NO REFUNDS

12.1 All voucher purchases, top-ups, and conversions are final.

12.2 No refunds will be issued, except where required by applicable law.

13. ACCEPTABLE USE

13.1 Users may not:

Use FluxioPay for unlawful purposes
Attempt to launder money or circumvent platform rules
Abuse vouchers for prohibited resale or arbitrage
Provide false or misleading information

13.2 FluxioPay reserves the right to suspend or terminate accounts for violations, suspected fraud, or compliance reasons.

14. INTELLECTUAL PROPERTY

All content, branding, designs, and systems on FluxioPay are the property of KRIM Group (PTY) LTD and may not be copied, reused, or distributed without permission.

15. LIMITATION OF LIABILITY

15.1 To the maximum extent permitted by law, FluxioPay shall not be liable for indirect, incidental, special, or consequential losses.

15.2 FluxioPay’s liability, where applicable, is limited to the value of the affected voucher or transaction.

16. PRIVACY

FluxioPay processes personal information in accordance with the FluxioPay Privacy Policy and POPIA.

17. TERMINATION AND SUSPENSION

FluxioPay may suspend or terminate accounts:

For breaches of these Terms
For suspected fraud or misuse
For regulatory or compliance reasons
Where required by law or court order

18. GOVERNING LAW

These Terms are governed by the laws of the Republic of South Africa.
